Projektbezogene Geschäftsbedingungen

1. Verkaufsbedingungen
• Alle Verkaufsgegenstände werden EXW (Incoterms 2020) „wie besichtigt und am Standort vorgefunden“ verkauft.
• Die Demontage, Handhabung und Verladung der Verkaufsgegenstände kann optional über einen Dienstleister angeboten werden. Sie ist nicht verpflichtend Bestandteil des Kaufvertrages.
• Sofern der Käufer die Demontage, Handhabung und Verladung in Anspruch nehmen möchte, erfolgt diese durch einen von Maynards vorab ausgewählten Drittanbieter gegen eine Pauschalgebühr je Los.
• Der Käufer ist berechtigt, die Demontage, Handhabung und Verladung eigenständig oder durch einen von ihm beauftragten Dritten durchführen zu lassen, sofern sämtliche gesetzlichen, sicherheitstechnischen und standortbezogenen Vorgaben und die zeitliche Frist eingehalten werden und eine vorherige schriftliche Abstimmung mit Maynards erfolgt.
• Nimmt der Käufer die von Maynards angebotenen Demontageleistungen in Anspruch, erhebt Maynards im Namen und im Auftrag des Demontagedienstleisters eine verbindliche Pauschalgebühr für die standardmäßige Demontage, Handhabung und Verladung (ausschließlich auf LKW, nicht in Container). Diese Gebühr wird für jedes Los gesondert ausgewiesen.
• Sämtliche Angelegenheiten im Zusammenhang mit der optional beauftragten Demontage, Handhabung, Verladung und Abholung sind unmittelbar zwischen Käufer und dem Demontagedienstleister abzustimmen.
• Die Abholung erfolgt grundsätzlich per LKW (Standard-, Schwerlast- oder Übermaßtransport, sofern erforderlich). Abweichende Transportmittel bedürfen der vorherigen schriftlichen Zustimmung von Maynards bzw. des Demontagedienstleisters.
• Die angebotene Pauschalgebühr umfasst – sofern beauftragt – die Demontage, Handhabung und Verladung der Gegenstände in transportfähige Einheiten auf einen geeigneten LKW (nicht Container oder sonstige Transportarten).
• Bauteile werden – sofern erforderlich und beauftragt – mittels geeigneter Hebezeuge ausgebaut, transportgerecht verpackt, innerbetrieblich bewegt und auf bereitstehende LKW verladen.
• Spezial- oder seefeste Verpackungen sind ausdrücklich nicht Bestandteil der angebotenen Demontagepauschale.
• Der Käufer bzw. dessen Spediteur stellt – unabhängig davon, wer die Demontage durchführt – sämtliche erforderlichen Materialien zur Transportsicherung (z. B. Antirutschmatten, Ketten, Zurrgurte, Planen) bereit oder beschafft diese rechtzeitig.
• Sofern spezielle Transport- oder Sicherungsvorrichtungen des OEM erforderlich sind, hat der Käufer diese eigenverantwortlich beim Hersteller anzufordern und bereitzustellen. Dies gilt nicht für Maschinen des Herstellers „Schwäbische Werkzeugmaschinen“ und Starrag Heckert“. Für diese Maschinen sind die Transportsicherungen bereits vorhanden und eingebaut.
• Kosten für solche Vorrichtungen sind nicht in der optionalen Demontagepauschale enthalten und gehen ausschließlich zu Lasten des Käufers.
Weitere Leistungen wie Verpackung und Versand können – sofern gewünscht – direkt bei Maynards oder dem Demontagedienstleister angefragt werden.
2. Abholung und Zeitplan
• Sofern der Käufer die Demontage durch den von Maynards benannten Dienstleister beauftragt, informiert dieser den Käufer über die Abholbereitschaft der Lose und benennt ein Abholzeitfenster.
• Spätester Abholtermin: 20. Februar 2026, vorbehaltlich der Terminplanung und Koordination. Maynards behält sich vor, Abholzeiträume organisatorisch anzupassen.
• Die Abholung erfolgt ausschließlich nach vorheriger Terminvereinbarung und innerhalb des jeweils vereinbarten Zeitraums.
Ergänzend gelten die Allgemeinen Geschäftsbedingungen der Maynards Europe GmbH.
3. Export- und Genehmigungspflichten
• Je nach Bestimmungsland können Exportgenehmigungen erforderlich sein.
• Der Käufer ist verpflichtet, erforderliche Ausfuhrgenehmigungen und behördliche Erlaubnisse rechtzeitig einzuholen.
• Bis zur Erteilung erforderlicher Ausfuhrgenehmigungen übernimmt der Käufer Lagerung und Risiko.
• Sämtliche daraus entstehenden Kosten und Risiken trägt ausschließlich der Käufer.
• Der Käufer verpflichtet sich, sämtliche Zollformalitäten ordnungsgemäß zu erfüllen und alle von Maynards angeforderten Informationen oder schriftlichen Bestätigungen fristgerecht zur Verfügung zu stellen.
1. Terms of Sale
• All items offered for sale are sold EXW (Incoterms® 2020), “as inspected and as found at the location.”
• Dismantling, handling, and loading of the sold items may be offered as an optional service via a service provider. Such services do not constitute a mandatory part of the purchase contract.
• Should the Buyer wish to make use of dismantling, handling, and loading services, these shall be performed by a third-party service provider preselected by Maynards, against a flat-rate fee per lot.
• The Buyer is entitled to carry out dismantling, handling, and loading independently or through a third party appointed by the Buyer, provided that all statutory, safety-related, and site-specific requirements, as well as the applicable time limits, are complied with and prior written coordination with Maynards has taken place.
• If the Buyer makes use of the dismantling services offered by Maynards, Maynards shall charge, in the name and on behalf of the dismantling service provider, a binding flat-rate fee for standard dismantling, handling, and loading (loading onto trucks only; container loading expressly excluded). This fee shall be shown separately for each lot.
• All matters relating to optionally commissioned dismantling, handling, loading, and collection shall be coordinated directly between the Buyer and the dismantling service provider.
• Collection shall generally be carried out by truck (standard, heavy-duty, or oversized transport, as required). Any deviation from this method of transport shall require the prior written consent of Maynards and/or the dismantling service provider.
• The offered flat-rate fee includes—if commissioned—the dismantling, handling, and loading of the items into transportable units onto a suitable truck (excluding containers or other modes of transport).
• Components shall—if required and commissioned—be removed using appropriate lifting equipment, packed in a transport-suitable manner, moved internally on site, and loaded onto trucks provided for this purpose.
• Special packaging or seaworthy packaging is expressly not included in the offered dismantling flat-rate fee.
• The Buyer and/or the Buyer’s freight forwarder shall provide or procure in due time—regardless of who performs the dismantling—all materials required for load securing (e.g. anti-slip mats, chains, lashing straps, tarpaulins).
• If special transport or securing devices prescribed by the OEM are required, the Buyer shall be solely responsible for requesting and providing such devices from the manufacturer.
This shall not apply to machines manufactured by Schwäbische Werkzeugmaschinen and Starrag Heckert. For these machines, the transport securing devices are already available and installed.• Costs for such transport or securing devices are not included in the optional dismantling flat-rate fee and shall be borne exclusively by the Buyer.
Additional services such as packaging and shipping may, if desired, be requested directly from Maynards or the dismantling service provider.
2. Collection and Schedule
• If the Buyer commissions dismantling through the service provider designated by Maynards, the service provider shall inform the Buyer once the lots are ready for collection and shall specify a collection time window.
• Latest collection date: 20 February 2026, subject to scheduling and coordination. Maynards reserves the right to adjust collection periods for organizational reasons.
• Collection shall take place exclusively by prior appointment and within the agreed time window.
3. Export & Compliance Obligations
• Export of assets may require authorization depending on destination.
• The buyer must obtain any necessary export licenses or governmental approvals.
• The buyer assumes responsibility, risk, and cost for interim storage pending export clearance.
• All resulting costs and risks are borne exclusively by the buyer.
• The buyer must fulfil all customs formalities and provide any requested information or confirmations to Maynards to enable export.
